20 Şubat 2021 tarihinde Resmi Gazete’de yayımlanan “Şirket Kuruluş Sözleşmesinin Ticaret Sicili Müdürlüklerinde İmzalanması Hakkında Tebliğde Değişiklik Yapılmasına Dair Tebliğ” ile şirket kuruluşunda uygulanan imza prosedürüne ilişkin bazı değişiklikler getirilmiştir.

Değişiklik öncesinde, imza beyannamelerinin şirket kuruluş ve ticari işletme açılışı işlemlerinde müdürlüklere ibrazının zorunlu olduğu ve ticaret sicil müdürlüklerinde yetkilendirilmiş personel huzurunda düzenlenebilmekteydi.

Yeni düzenleme uyarınca, gerçek kişi tacir ile tüzel kişi tacir adına imzaya yetkili olanların imzaları, bu tacirlerin ticaret siciline tescilleri sırasında alınan ve kamu kurum ve kuruluşların veri tabanlarında tutulan imza verileri elektronik ortamda temin edilerek Merkezi Sicil Kayıt Sistemi’ne (“MERSİS”) kaydedilebilecektir. Dolayısıyla imza beyanı verilmesi için artık ticaret sicili müdürlüğüne gidilmesine gerek kalmayacaktır.

Ayrıca, kişinin aynı ticari işletme veya şirketin sicil dosyasında daha önce temin edilen imza verisinin veya imza beyannamesinin bulunması halinde de yeniden imza beyannamesi verilmesine gerek olmayacaktır.

Yabancı ülkede bulunan imzaya yetkili kimselerin imza beyanı ise, bunların imzalarının o ülkedeki Türk konsolosluğu ya da o ülke mevzuatı uyarınca yetkili makamlarca onaylanması suretiyle düzenlenebilecektir.

Bu doğrultuda, ilgili kurum ve kuruluşlarla entegrasyon çalışmalarına başlanmıştır. Süreç tamamlandığında girişimcilerin herhangi bir kuruma gitmeden bilgisayar başında şirket kurmaları mümkün hale gelecektir.

İmza verisinin elektronik ortamda teminine imkân tanıyacak entegrasyon tamamlanana kadar ve yine entegrasyon sağlanmasına rağmen yetkili olarak atanacak kişinin veri tabanında imza kaydının bulunmadığı durumlarda fiziki imza beyannamesi verilecektir.

Limited şirket dışındaki şirketlerin kuruluşları için fiziki imza beyannameleri ticaret sicili müdürlüklerinin yanı sıra noterlerde de verilebilecektir.

Pursuant to “the Communiqué Amending the Communiqué on Signing of Articles of Incorporation At Trade Registry Offices” published on Official Gazette on 20th February, 2021 some amendments have been made to the signature procedure of corporation establishment.

Before the amendments, for establishment of corporations and business entities, it was compulsory to present statements of signature and statements of signature could only be drafted at trade registry offices in the presence of the authorized personal.

Pursuant to the new amendment, the signatures of the persons, who are authorized to sign on behalf of natural person and legal person traders, which have been taken during the trader registry process will be obtained from the data bases of public institutions and enterprises and will be registrated into the Central Registration System (“CRS”). Therefore, it will no longer be necessary to go to the trade registry offices in order to give a signature declaration.

Moreover, if the signature or statement of signature of a person has been obtained before and is found in the file of the same corporation or business entity, then it will not be necessary to present statement of signature again.

Statements of signature of the authorized signatories who are in foreign countries can be drafted either at the Turkish Consulate in that country or with the approval of the competent authorities according to the laws of that country.

In that direction, integration operations have begun in the relevant institutions and enterprises. It will become possible for entrepreneurs to establish a company from a computer screen once the integration process is complete.

Physical statements of signature will be required until the integration process enables obtaining signature data in electronic environment and after the integration for the authorized persons who does not have a registered signature data in the database.

Apart from trade registry offices, physical statements of signature for establishment of a company other than a limited company can also be given at notaries.
