6102 Sayılı TTK'nin Defter Tutma Yükümlülüğü, Pay Senedi Bastırılması, Hamiline  Yazılı Pay Senetlerinin Devri Hükümlerinde Değişiklik Yapıldı

31 Aralık 2020 tarihli Resmî Gazete ’de yayımlanan 7262 Sayılı Kitle İmha Silahlarının Yayılmasının Finansmanının Önlenmesine İlişkin Kanun ile 6102 sayılı Türk Ticaret Kanunu’nun (“TTK”); defter tutma yükümlülüğü, pay senedi bastırılması, hamiline yazılı pay senetlerinin devri hükümlerinde değişiklikler yapılmıştır.



1.          Pay defterinin, yönetim kurulu karar defteri ile genel kurul toplantı ve müzakere defterinin elektronik ortamda tutulması

 

Değişiklik ile pay defterinin kaybolması, mükerrer pay defteri tutulması gibi uygulamada karşılaşılan sorunların önüne geçilmesi, hisse devirleri kayıt altına alınarak ortaklık ve buna bağlı hakların korunması, şirketler topluluğunda ortakların kolay tespitine imkân tanınması, gerçek ortaklık yapısının ortaya konulması amaçlanarak Ticaret Bakanlığına pay defterinin elektronik ortamda tutulmasını zorunlu kılma yetkisi verilmektedir. Aynı gerekçelerle Bakanlığa yönetim kurulu karar defteri ile genel kurul toplantı ve müzakere defterlerinin de elektronik ortamda tutulmasını zorunlu kılma yetkisi de verilmektedir.


2.           Hamiline yazılı pay senetlerinin bastırılmasında ve devrinde Merkezi Kayıt Kuruluşuna bildirim yükümlülüğü

 

TTK m. 489’un birinci fıkrasında yapılan değişiklik ile hamiline yazılı pay senetlerinin devrinde, devrin şirket ve üçüncü kişiler nezdinde hüküm ifade etmesi için pay senedini devralan tarafından Merkezi Kayıt Kuruluşuna bildirimde bulunulması zorunluluğu getirilmiştir. Hamiline yazılı pay senedini devralan tarafından gerekli bildirimde bulunulmazsa, devralan paya bağlı haklarını gerekli bildirim yapılıncaya kadar kullanamayacaktır.


İkinci fıkrada yapılan değişiklik ile, hamiline yazılı pay senedine bağlı hakların şirkete ve üçüncü kişilere karşı ileri sürülmesiyle ilgili tereddütleri gidermek amacıyla bildirim tarihi belirlenmektedir. Böylelikle pay senedine bağlı hakların ileri sürülmesinde Merkezi Kayıt Kuruluşuna yapılan bildirim tarihi esas alınacaktır.



3.           Cezai Yaptırım

 

  • Hamiline yazılı pay senedi çıkaran anonim şirketlerde, hamiline yazılı pay sahipliğine ilişkin bilgileri Merkezi Kayıt Kuruluşuna bildirmeyen şirketler 20.000 TL,
  • Hamiline yazılı pay senedini devralmasına rağmen bildirimde bulunmayanlar 5.000 TL,

idari para cezası uygulanacaktır.



4.          Yürürlük Tarihi

 

Kanunun elektronik defter tutmaya ilişkin hükmü 31 Aralık 2020 tarihinde yürürlüğe girmiş olup; diğer düzenlemeler 1 Nisan 2021 tarihinde yürürlüğe girecektir. Hamiline yazılı pay senedine sahip olanlar Merkezi Kayıt Kuruluşuna bildirilmek üzere pay senetleri ile birlikte anonim şirkete başvuracaklardır. Başvuru üzerine anonim şirket yönetim kurulu, 5 iş günü içinde hamiline yazılı pay sahipleri ile sahip oldukları paya ilişkin bilgileri Merkezi Kayıt Kuruluşuna bildireceklerdir. Pay sahipleri anonim şirkete başvurmazsa bu Kanundan doğan paya bağlı haklarını gerekli başvuru yapılıncaya kadar kullanamayacaklardır.



Sonuç olarak, TTK’da yapılan bu değişiklikler ile halka açık şirketler dışında hamiline yazılı hisselerin gizlilik, devir kolaylığı gibi fonksiyonları ciddi anlamda sınırlandırılmış durumdadır.


 

 

 

 

 

 

 

 

 

Provisions on the obligation of keeping commercial books, issuance of share certificate, transfer of share certificates in the Turkish Commercial Code (“TCC”) have been amended with the Law No. 7262 on Preventing the Financing of the Propagation of Weapons of Mass Destruction, published in the Official Gazette dated December 31, 2020.


1.             Keeping share ledger, minute book of the board of management and general assembly and the book of discussion electronically


Ministry of Commerce is authorized to oblige companies to keep share ledger in order to prevent problems encountered in practice such as the loss of share book, keeping duplicate share books, protecting partnership and related rights by recording share transfers, enabling easy determination of partners in the group companies, and revealing the true partnership structure with the amendment. The Ministry is also authorized to oblige companies to keep the minute book of the board of management and general assembly electronically on the same grounds.


2.              Obligation to notify the Central Registry Agency while issuing the bearer share certificates and the transfer thereof

 

With the amendment made in the first subclause of Article 489 of the TCC, the transferee of the bearer share certificate is obliged to notify the Central Registry Agency in order for the transfer to be valid before the company and third parties. If the transferee of the bearer share certificate does not make the necessary legal notice, he will not be able to enjoy his rights related to the share until the necessary legal notice is made.


With the amendment made in the second subclause, the notification date is determined in order to eliminate the hesitations about the rights related to the bearer shares against the company and third parties. Thus, the date of notification made to the Central Registry Agency will be taken as basis in asserting the rights related to the share certificate.


3.              Penal Sanction


  • In joint stock companies that issue bearer share certificate, the company that does not notify the Central Registry Agency regarding the bearer share ownership will be imposed with an administrative fine in the amount of 20.000 TL.
  • The transferee who does to make legal notice despite taking over the bearer share certificate.

4.             Date of Effect

 

The provision of the code on keeping commercial books in electronic form came into force on December 31st, 2020 whereas, other amendments will come into force on April 1st, 2021. Owners of bearer share certificates shall apply to the joint stock company to be notified to the Central Registry Agency. The board of management of the joint stock company shall notify the owners of bearer share certificates and information about the share to the Central Registry Agency in 5 business days upon the application. If shareholders do not apply to the joint stock company, they will not be able to enjoy their legal rights related to the share.


In conclusion, with these amendments made in the TCC, the functions of bearer shares, such as confidentiality and ease of transfer, except for publicly traded companies, are severely limited.
