Covid-19 Salgını Enerji Piyasası Düzenleme Kurumu Tarafından Mücbir Sebep Olarak Kabul Edildi ve Süreler 3 Ay Otomatik Olarak Uzatıldı

COVID-19 salgının (“Salgın”) ekonomik hayat üzerindeki etkilerini azaltmak amacıyla çeşitli tedbirler alınmaya devam edilmektedir. Bu doğrultuda 04.04.2020 tarihli 31089 sayılı Resmi Gazete’de Enerji Piyasası Düzenleme Kurumu (“EPDK”) tarafından kurul kararı (“Karar”) yayınlanmıştır. Bu Karar ile EPDK Salgın’ı, Elektrik Piyasası Lisans Yönetmeliği (“Yönetmelik”) ile Elektrik Piyasasında Lisanssız Elektrik Üretim Yönetmeliği kapsamındaki bazı işlemler yönünden mücbir sebep olarak kabul etmiştir. Bu Karar ile birlikte EPDK, aşağıda sayılan işlemlerden sona erme tarihi 10.03.2020’den sonra olanlar için, sona erme tarihini, herhangi bir işleme gerek olmaksızın bir seferliğine 3 ay süreyle uzatmıştır. Bu kapsamda aşağıdaki işlemler için 02.04.2020 tarihinden önce bir sona erme tarihi belirlenmişse ve sona erme tarihi 10.03.2020 tarihinden sonra bir tarih ise bu işlemler yönünden sona erme tarihi 3 ay uzamıştır.

1.      Yönetmelik kapsamında önlisans ve üretim lisansı sahiplerine 3 aylık süre uzatımı tanınan işlemler:

a)     Önlisans süreleri ile üretim lisansı kapsamında inşaat öncesi dönem ile inşaat dönemi ya da Yönetmeliğin geçici 15. Maddesi kapsamındaki yükümlülük erteleme süreleri: 1.a.1. Önlisans süresi 3 ay uzatılmıştır. 1.a.2. Üretim lisansında, Yönetmeliğin 23. Maddesi kapsamında lisans ile belirlenmiş inşaat öncesi dönem ve inşaat dönemi de 3 ay uzatılmıştır. 1.a.3. Aynı zamanda Yönetmeliğin Geçici 15. Maddesinde, Geçici Madde 9 kapsamında tedarik lisansı sahibi almak isteyen tüzel kişilere yükümlülükler tanımlanmış olup bu yükümlülüklerin tamamlanması için 6 aylık bir süre belirlenmiştir. Bu 6 aylık süre 3 ay uzamıştır.

b)     Önlisans veya üretim lisansı tadil işleri kapsamında belirlenen yükümlülüklere ilişkin süreler: 1.b.1. Tüzel kişinin ön lisans tadil başvurusu kapsamında, ön lisansının tadil edilmesine karar verilmesi durumunda, tüzel kişiye Yönetmeliğin 18/4.  Maddesinde yükümlükleri yerine getirmesi için bir süre verileceği düzenlenmiştir. Somut olaya göre Kurul tarafından belirlenen bu süre 3 ay uzatılmıştır. 1.b.2. Üretim lisansının tadiline ilişkin tüzel kişi tarafından bir talepte bulunulması halinde, Yönetmelik’in 24. Maddesinin 4,5,6 ve 7.fıkraları kapsamında tüzel kişiye yükümlülüklerin yerine getirilmesi için bir süre verilmektedir. Somut olaya göre Kurul tarafından belirlenen bu süre 3 ay uzatılmıştır.

c)      Birleşme veya bölünme işlemleri kapsamında belirlenen yükümlülüklere ilişkin süreleri: Birleşme/bölünme işlemleri gerçekleştirilmeden önce Enerji Piyasası Düzenleme Kurul’un (“Kurul”) onayının alınması Yönetmeliğin 59. Maddesi kapsamında zorunludur. Bu madde kapsamında birleşme/bölünme işlemine Kurul tarafından onay verilirken birleşme/bölünme kararı almış tüzel kişilere Kurul tarafından ilgili maddenin 10.fıkrası kapsamında yükümlülükler getirilebilmektedir. 10. Fıkra kapsamında aynı zamanda Kurul tarafından bu yükümlülüklerin tamamlanması için ilgili tüzel kişiliklere bir süre verilebileceği düzenlenmiştir. 3 aylık uzatma süresi, yükümlülüklerin tamamlanma tarihinin sonundan itibaren başlayacaktır.

d)     Eskisinin devamı mahiyetinde üretim lisansı verilmesi kapsamında belirlenen yükümlülüklere ilişkin süreleri: Yönetmeliğin 5/3. Maddesinde eskisinin devamı mahiyetinde yeni lisans verilmesi talebinde bulunan tüzel kişiye, yeni lisans verilmesi uygun bulunulursa, Kurul tarafından tüzel kişinin yerine getirmesi için yükümlülüklerin belirleneceği düzenlenmiştir. Aynı zamanda bu yükümlülüklerin yerine getirilmesi için Kurul tarafından bir süre belirleneceği düzenlenmiştir. Somut olaya göre Kurul tarafından belirlenen bu süre 3 ay uzatılmıştır.

e)      Önlisans veya lisans başvuruları kapsamında gerekli bilgi ve belgelerin tamamlanması için verilen süreleri

 f)      Yönetmeliğin 18 inci maddesinin ikinci fıkrası kapsamında yapılması öngörülen başvurulara ilişkin süreleri

 2.      Lisanssız Elektrik Üretim Yönetmeliği kapsamında kurulması öngörülen üretim tesislerinin bağlantı anlaşma süresinin sona erme tarihi 10.03.2020 tarihinden sonra ise anlaşmanın sona erme tarihi de 3 ay ertelenmiştir.

Yukarıdaki Karar, Yönetmeliğin 35. Maddesi kapsamında alınmıştır. Bu madde kapsamında, Kurul Salgın’ı bir mücbir sebep olarak kabul etmiş ve önlisans ve üretim lisansı sahiplerine yukarıda sayılan hususlarda süre uzatım imkânı vermiştir. Karar’ın kapsamı yukarıda sayılan hususlar ile sınırlı olsa da EPDK’ya yapılacak olan diğer süre uzatım taleplerinde Salgın’ın mücbir sebep teşkil ettiğinin temellendirilmesi yönünden önem taşımaktadır.

 

 









Various measures have been taken to reduce the effects of the COVID-19 Epidemic (“Epidemic”) on economic life. Accordingly, the board decision (“Decision”) was published by the Energy Market Regulatory Authority (“EMRA”) in the Official Gazette No. 31089 dated 04.04.2020. With this Decision, EMRA accepted the Epidemic as a force majeure in terms of some transactions within the scope of Electricity Market License Regulation (“Regulation“) and Unlicensed Electricity Production Regulation in Electricity Market. With this Decision, EMRA extended the expiration date for a period of 3 months for the ones whose expiration date is after 10.03.2020, without any operation. Within this scope, if an expiration date has been determined for the following transactions before 02.04.2020 and the expiration date is a date after 10.03.2020, the expiration date for these transactions has been extended by 3 months.

1.      Within the scope of the regulation, transactions granted to 3-month extension for pre-license and production license holders:

a)     Pre-license periods; pre-construction period and construction period within the scope of the generation license; or periods of delay for the obligations under the Temporary Article 15 of the Licensing Regulation: 1.a.1. Duration of pre-license degree has been extended for 3 months. 1.a.2.In the production license, the pre-construction period and the construction period determined by the license within the scope of Article 23 of the Regulation have been extended by 3 months. 1.a.3. At the same time, in the Provisional Article 15 of the Regulation, liabilities are defined for legal entities who wish to obtain a supply license under Provisional Article 9, and a period of 6 months is determined to complete these obligations. This 6-month period was extended by 3 months.

b)     Periods related to the obligations determined within the scope of amendments to pre-licenses or generation licenses:  1.b.1. Within the scope of the application for the amendment of the legal person’s pre-license, in the event that it is decided to amend the pre-license, it is arranged that the legal person will be given a period of time to fulfill the obligations in Article 18/4 of the Regulation. This period is determined by the Board according to the concrete case and was extended by 3 months. 1.b.2. In case a request is made by the legal person regarding the amendment of the production license, the legal person is given a period of time to fulfill the obligations within the scope of Article 24, 4.5,6 and 7, of the Regulation. This period is determined by the Board according to the concrete case and was extended by 3 months.

c)      Periods related to the obligations determined within the scope of the merger and division processes: It is obligatory to obtain the approval of the Energy Market Regulatory Board (“Board“) before the merger / division process is carried out within the scope of Article 59 of the Regulation. Within the scope of this article, while the merger / division process is approved by the Board, legal entities that have decided to merge / divide may be imposed by the Board under the paragraph 10 of the relevant article. Within the scope of paragraph 10, it is also regulated by the Board that the related legal entities may be given a period to complete these obligations. The 3-month extension period will begin from the end of the obligations completion date.

d)     periods related to the obligations determined within the scope of the issuance of a generation license as a continuation of the previous license: In the Article 5/3 of the Regulation, if the new license is deemed appropriate by the Board for the legal entity requesting to grant a new license as a continuation of the previous one, obligations will be determined by the Board for the legal person to fulfill. At the same time, it is regulated that a period will be determined by the Board in order to fulfill these obligations. This period is determined by the Board according to the concrete case and was extended by 3 months.

e)      periods for completing the necessary information and documentation within the scope of the pre-license or license applications,

f)      periods related to the applications to be made within the scope of the second paragraph of Article 18 of the Licensing Regulation.

2.      The expiry date of the connection agreement period of the generation facilities that are foreseen to be established within the scope of the Unlicensed Electricity Generation Regulation has been postponed for 3 months after the date of 10.03.2020.

The above decision was taken within the scope of Article 35 of the Regulation. Within the scope of this article, the Board accepted the Epidemic as a force majeure and granted the possibility of extension to the pre and production license holders on the above issues. Although the scope of the decision is limited to the issues listed above, it is important in terms of grounding that the epidemic constitutes a force majeure in other extension requests to be made to EMRA.
