ŞARJ HİZMETİ YÖNETMELİĞİ YÜRÜRLÜĞE GİRDİ |
In recent years, as the use of electric and hybrid vehicles has become widespread especially in the world and also in Turkey, the necessity of establishing the necessary infrastructure for charging stations has arisen. Since there was no legal regulation in terms of charging stations, there were many uncertainties in this expanding industry, and it was a matter of curiosity whether there would be new initiatives against these stations, most of which are located in shopping malls, and the potential attitude of large petrol stations in this regard.

Son yıllarda başta dünya genelinde olmak üzere Türkiye’de de elektrikli ve hybrid araçların kullanımı yaygınlaştıkça şarj istasyonları için gerekli altyapının oluşturulması gerekliliği doğmuştu. Bugüne dek şarj istasyonları açısından hukuki bir düzenleme bulunmadığından, genişleyen bu sektörde birçok belirsizlik bulunmakta; çoğu alışveriş merkezlerinde bulunan bu istasyonlara karşı yeni girişimlerin olup olmayacağı, büyük petrol istasyonlarının bu husustaki potansiyel tutumu merak konusuydu.

The long-awaited Charging Service Regulation was published in the Official Gazette on April 2, 2022 and entered into force. Thus, the 4-month period for charging service providers to adapt their status to this Regulation has begun.

Uzun zamandır beklenen Şarj Hizmeti Yönetmeliği 2 Nisan 2022 tarihinde Resmî Gazete’de yayımlanarak yürürlüğe girdi. Böylece şarj hizmeti sağlayan kişilerin durumlarını bu Yönetmeliğe uygun hale getirmeleri için öngörülen 4 aylık süre başlamış oldu.

The fundamental points regulated in the regulation are as follows:
· The necessary license to operate in the sector will be given by EMRA. In order to obtain a license, the company must be a joint stock company, its minimum capital must not be less than 4.500.000 TL, and its shares must be registered. · EMRA will decide on license applications within 30 days and the license period will be 49 years. In addition, licenses cannot be transferred except for the exceptions of company merger or company division. · The licensee may operate the charging station directly, or have it operated by the affiliates it will authorize. The charging station may be open 24/7, or it may be installed in shopping malls, hotels and similar places that are only open during certain hours. · The charging network operator will establish a charging network consisting of at least 50 charging units and charging stations in at least 5 different districts within 6 months from the effective date of its license. At least 5% of the charging units in the charging network and at least 50% of the charging units located on the highways and state highways under the responsibility of the General Directorate of Highways shall be of DC 50 kilowatt (kW) and above charging quality. · Charging network operators will pay the fees to be determined by EMRA for licenses, license amendments and license copies, and they will also be obliged to pay an annual license fee. However, EMRA will not receive an annual license fee until January 01, 2028. · EMRA may impose commercial and technical obligations and special conditions on charging network operators, including establishing a certain number of charging stations in certain locations. The charging network operator will be able to request expropriation for the charging station established within this scope. In addition, the total costs of the charging stations established within this scope, including investment financing, can be taken into account in determining the service price. · It will be possible to establish an electricity generation facility based on unlicensed renewable energy sources to meet the electricity needs of the charging station. It should also be noted that the excess production will be able to be sold to the system over the tariff of the unlicensed production at the point of consumption. As of this date, if the sales price is the consumption point industry tariff, it will be 2048 kurush/kWh; the business tariff will be 1331 kurush/kWh for the 1st level and 1884 kurush/kWh for the 2nd level. · The charging fee can be freely determined by the licensee company according to different power and technical parameters. If EMRA detects a situation that prevents competition, it will be able to determine the floor and/or ceiling prices to be applied at the regional or national level, not exceeding three months at a time. · Users can sign a loyalty agreement with the charging network operator in writing or remotely, and different charging service prices can be applied to users under the loyalty agreement.

Since there is no clear regulation on pricing within the scope of the Regulation that came into force, the price can be determined freely. In addition, it was stated that profitability should remain at a “reasonable level”. In this respect, it cannot be said that all question marks have been resolved. However, it is estimated that pricing will be shaped by factors such as the station’s location and the business of that certain location.

Yürürlüğe giren Yönetmelik kapsamında fiyatlandırma konusunda açık bir düzenleme olmadığından fiyatın serbestçe belirlenebilecektir. Bunun yanında karlılığın “makul ölçüde” kalması gerektiği ifade edilmiştir. Bu açıdan tüm soru işaretlerinin giderildiği söylenemez. Ancak fiyatlandırmanın istasyonun konumu, yoğunluk durumu gibi faktörlere göre şekilleneceği tahmin edilmektedir.

It is expected that these uncertain issues will also be resolved after this Regulation, which can be considered as an initial regulation in terms of charging stations and the electric vehicle market. With the start of licensing and new investment activities, it can be said that large oil companies will play a leading role in this regard. |
Şarj istasyonları ve elektrikli araç piyasası açısından bir başlangıç düzenlemesi olarak değerlendirilebilecek olan bu Yönetmelik sonrasında, belirsizlik arz eden bu hususların da çözüme kavuşacağı tahmin edilmektedir. Lisanslandırma ve yeni yatırım faaliyetlerinin başlaması ile beraber büyük petrol şirketlerinin de bu hususta başrol oynayacağı söylenebilir.

It should also be noted that in the List of Information and Documents to be Submitted in the Charge Network Operator License Application, which is attached to the Board Decision No. 10852, it is obligatory to include “The provision that the approval of the Authority (EMRA) will be obtained for the changes in the type of share certificates and the amendments to the articles of association regarding the reduction of the company’s capital amount.” in the articles of association of the company that will apply for the license. In this context, companies that will apply for a license may need to amend their articles of association beforehand.

Ayrıca belirmek gerekir ki, 10852 sayılı Kurul Kararının ekinde yer alan Şarj Ağı İşletmeci Lisans Başvurusunda Sunulması Gereken Bilgi ve Belgeler Listesi’nde lisans başvurusu yapacak şirketin esas sözleşmesinde “pay senetlerinin nevi değişikliklerinde ve şirket sermaye miktarının azaltılmasına ilişkin esas sözleşme değişikliklerinde Kurum (EPDK) onayı alınacağına dair hükme” yer verilmesi zorunlu tutulmuştur. Bu kapsamda lisans başvurusu yapacak şirketlerin öncesinde esas sözleşme tadili yapmaları gerekebilecektir.
